Picmeleo Service Agreement/Terms of Use

Acceptance of Terms

These Terms of Service are a legal contract between you and Picmeleo. Picmeleo operates www.picmeleo.com and the photo uploading and editing services therein (collectively the “Service”). By using the Picmeleo Site and any services accessible from the Picmeleo Site, you are agreeing to be bound by the following terms and conditions (“Terms of Service”). Picmeleo reserves the right to update the Terms of Service at any time without notice to User.

Changed Terms

Picmeleo shall have the right at any time to change or modify the terms and conditions applicable to User's use of Picmeleo, or any part thereof, or to impose new conditions, including, but not limited to, adding fees and charges for use. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on Picmeleo.com or by electronic mail, or by any other means by which User obtains notice thereof. Any use of Picmeleo by User after such notice shall be deemed to constitute acceptance by User of such changes, modifications or additions.

License Grants & Restrictions

By signing up for a Picmeleo account, Picmeleo grants you a non-exclusive, non-transferable, worldwide right to access and use the Picmeleo Site subject to the Terms of Service. Your Picmeleo account lets you embed Picmeleo Photo Editor in your own web pages. A single API key is valid for a single "directory" or domain. You are authorized to offer the Service to users within the domain specified with your account. Thereby, the users are also subjects to this Terms of Service. You may not permit your Picmeleo account to be used by or for the benefit of unauthorized third parties. Nothing in the Terms of Service shall be construed to grant you any right to transfer or assign rights to access or use the Picmeleo Site and the Service. All rights not expressly granted to you are reserved by Picmeleo. You shall not (i) modify or make derivative works based upon the Picmeleo Site; (ii) reverse engineer or access the Picmeleo in order to (a) build a competitive product or service, (b) build a product using similar features, functions or graphics of the Picmeleo Site, or (c) copy any features, functions or graphics of the Picmeleo Site. You further acknowledge and agree that, as between the parties, Picmeleo owns all right, title, and interest in and to the Picmeleo Site and the Service, including all intellectual property rights therein.

Impermissible Acts

As a condition to your use of the Picmeleo Site and the Service you agree not to:

upload, post, email, transmit or otherwise make available any information, materials or other content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, offensive, invades another’s privacy, or promotes bigotry, racism, hatred for harm against any individual or group;
impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity

Monitoring Users and Content

Picmeleo does not control the content posted by you or a third party to the Picmeleo Site and the Service and does not have any obligation to monitor such content for any purpose. You acknowledge that you are solely responsible for all content and material that you submit to Picmeleo.

Termination

Either Picmeleo or User may terminate this Agreement at any time. Without limiting the foregoing, Picmeleo shall have the right to immediately terminate User's Account in the event of any conduct by User which Picmeleo, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement. You hereby agree that Picmeleo may, in the exercise of Picmeleo's sole discretion, remove or delete any entries, information, materials or other content that violates these Terms of Service or that is otherwise objectionable.

Modifications to the Picmeleo Site, the Service and Prices.

Picmeleo reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Picmeleo Site and the Service (or any part thereof) with or without notice. Prices of all Picmeleo Sites and the Service are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Picmeleo Site and by electronic mail.
Picmeleo shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Picmeleo Sites and the Service.
Picmeleo reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Picmeleo Sites and the Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Picmeleo Sites and the Service after any such changes shall constitute your consent to such changes.
Picmeleo reserves the right to place Picmeleo or third-party advertising on Picmeleo Sites and the Service.

Copyright and Content Ownership

We claim no intellectual property rights over the material you or a third party submitted to the Picmeleo Sites and the Service. Your profile and materials uploaded remain yours. Picmeleo does not pre-screen Content, but Picmeleo have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Picmeleo Sites and the Service.

Privacy

User email addresses are private and not past on to outside parties. You agree that Picmeleo can send Picmeleo related updates via electronic mail. Picmeleo reserves the right to collect and publish information about the use of Picmeleo Sites and the Service if the collected information does not identify individual users. Data transfer between Picmeleo Sites, the Service and user web pages is not encrypted. You understand and agree that the use of Picmeleo Sites and the Service is at your own discretion and risk and that you will be solely responsible for loss of data that may occur.

Feedback

In the course of using the Picmeleo Sites and the Service, you may provide Picmeleo with feedback, including but not limited to suggestions, observations, errors, problems, and defects regarding the Picmeleo Sites and the Service (collectively “Feedback”). You hereby grant Picmeleo a worldwide, irrevocable, perpetual, royalty-free, transferable and sub-licensable, non-exclusive right to use, copy, modify, distribute, display, perform, create derivative works from and otherwise exploit all such Feedback.
